Welcome to RepSentry ("we," "our," or "us"). By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

1. Description of Service

RepSentry is a post-purchase customer engagement platform designed for e-commerce brands across multiple marketplaces, including Amazon, TikTok Shop, and other supported platforms. Our service enables sellers to:

• Create QR codes for product inserts
• Build branded landing pages
• Offer digital downloads or physical gifts to customers
• Collect customer feedback and gather customer intelligence
• Verify order authenticity through marketplace integrations
• Access native marketplace review request tools

2. User Accounts & Responsibilities

2.1 Account Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2.2 Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful code or malware
• Attempt to gain unauthorized access to our systems
• Use our service for any fraudulent or deceptive purposes

4. Payments, Subscriptions, and Refunds

4.1 Subscription Plans

RepSentry offers various subscription tiers. All subscriptions are billed monthly in advance and automatically renew unless canceled.

4.2 No Refunds

All payments are non-refundable. We do not provide refunds for partial months, unused features, or if any of your marketplace seller accounts are suspended.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPSENTRY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

6. Indemnification

You agree to indemnify, defend, and hold harmless RepSentry and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from your use of our service or violation of these Terms.

7. Termination

We may terminate or suspend your account at any time for violations of these Terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use our service will immediately cease.

8. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform. Continued use after changes constitutes acceptance of the modified Terms.
